Welcome to the terms and conditions (“Terms and Conditions”) for the “Spread the Smart” Refer-A-Friend Program (the “Program”), offered to you by Cerebelly Inc. (“Cerebelly”). By referring a friend, or otherwise participating in the Program, the referring customer and referred friend agree to be bound by these terms and conditions, Cerebelly’s Terms of Use (the “Terms of Use”), and the Cerebelly (the “Privacy Policy”). As detailed in the Terms of Use, we each agree to a mandatory arbitration provision that provides that any claim, controversy, or dispute of any kind between you and Cerebelly must be resolvedby final and binding arbitration on an individual and not a class-wide or consolidated basis.

Program Participation and Eligibility

Users who have an active Cerebelly account and who initiate a referral to a friend through the Program link on their account dashboard are defined as “Referrers.” Friends who purchase eligible products on https://www.cerebelly.com/ based upon receipt of a referral, either via a link or a code, are defined as “Referees.”

Rewards

Eligible Referees will receive $20 off of their first purchase of a minimum of $40 (not including taxes and shipping) made through the Referrer’s referral link, for delivery within the continental United States (i.e., excluding Alaska and Hawaii). When a Referee makes their first purchase of $40 or more (not including taxes and shipping) using the Referrer’s referral link or referral code during the promotion period, eligible Referrers will also receive $20 off of their next purchase or scheduled delivery. The Referrer and Referee rewards are referred to as “Rewards.”

Rewards cannot be combined with other offers or discounts in the same order. Although you can make as many referrals as you would like, Referrers who receive multiple Rewards may use only one Reward per order. This offer is not valid on international purchases or orders delivered to addresses outside of the continental United States.

There are no adjustments on previous purchases. The Rewards set forth above are the sole rewards available in connection with the Program, and no other credit will be provided. The Rewards cannot be combined with other offers or discounts.

Eligible Referrers

The Program is only available for active Cerebelly accounts in good standing. To be eligible to make referrals, you must:

• Provide us with a valid email address;
• Agree to our Terms of Use and these Terms and Conditions;
• Be an individual person and age 18 and over; and
• Be legally permitted to provide the personal information (e.g., name andemail address) of each Referee.

The Program is only available through https://www.cerebelly.com/. If your account is suspended, terminated, or you cancel your account with Cerebelly, you are no longer eligible to participate in the Program. Upon cancellation with Cerebelly, your account will be inactive and you may not make referrals. You cannot redeem a referral credit for referring yourself. You may only participate in the Program at the Program link located on your account dashboard. You may only participate in the Program with one account. You agree to let your Referees know that you are the Referrer and that you will receive $20 off an existing or new order if your Referee places an order of $40 or more via https://www.cerebelly.com/.

Eligible Referees

To be eligible to receive a reward as a Referee, you must:

• Provide us with a valid email address;
• Agree to our Terms of Use and these Terms and Conditions; and
• Be an individual person and age 18 and over.

Reward Redemption

Cerebelly will only apply the Rewards to an eligible Referee’s Cerebelly account onhttps://www.cerebelly.com/. Rewards cannot be applied towards in-store purchases or purchases via third-party retailers. Rewards are non-transferable, non-assignable, and cannot be redeemed or exchanged for cash, credit, or other merchandise.

Additional Terms and Conditions

Void Where Prohibited:

This Program is void where prohibited by law.

Restrictions:

In addition to the restrictions you agreed to in the Cerebelly Terms of Use, you agree that the following activities are expressly prohibited and engaging in any of these will be grounds for immediate termination and disqualification from the Program, and may lead to the forfeiture of existing Program invitations and accrued, but not yet used, Rewards.

• Spam, bulk distribution of invitations, distribution to strangers, or any other promotion of your Program invitations that would constitute or appear to constitute unsolicited commercial e-mail or spam under any applicable law or regulation.
• Fraud, attempted fraud, or abuse of the Program or these Terms & Conditions.
• Selling, trading, bartering, or providing anything of value to your Referee beyond the Program invitation, or otherwise using your Program referrals or Rewards for promotional purposes.
• Sending more than one Program invitation to the same household.

Reservation of Rights:

Cerebelly reserves the right at any time to modify or discontinue the Program, either temporarily or permanently (or any part thereof). If we modify or discontinue the Program, we will let you know by posting a notice on https://cerebelly.com/referral-terms. Cerebelly will not be liable to you in the event of any modification, suspension or discontinuance of the Program. Cerebelly reserves the right to amend, modify or waive these Terms & Conditions at any time in its sole discretion.
